JOB OPPORTUNITY Job description - Company Secretary: I. To ensure that the Company complies with its governing document, company law and any other relevant legislation or regulations 2. To ensure that the Company pursues its objects as defined ¡n its governing document. 3. Manage the corporate affairs of the company in line with SECP regulations and implementation of code of corporate governance. 4. Circulate calling notices agendas and minutes of the General Meeting and any special or Extraordinary General Meetings. 5. Act as Company Secretary and do all things needed for that role according to company law and as directed by the I3oard. 6. Contribute to the organization’s annual Director’s report and sign it off on bchalfoftlic board. 7. Ensure that the annual accounts and annual returns are submitted to Authorities. 8. Sit on appraisal. recruitment and disciplinary panels as required. 9. Prepare agendas in consultation with the Chairman and Chief Executive Officer, Circulate agendas and supporting papers in good lime. 10. Make arrangements for Board meetings and General meetings. Check that a quorum is present 11 Minute the meetings and circulate the draft minutes to all Board of Directors. Ensure that the minutes are signed by the Chair once they have been approved. 12. Check that Board of Directors and staff have carried out actions agreed at previous meetings. 13. Monitor and handle archiving for Company documentation. 14. Any other relevant duties as assigned. Requirements: Member of any professional body (ACAJACCA!ACMA), preferably with Degree in Law from a recognized institution. • 5 years plus experience with at least 3 years in a similar capacity. • Knowledge of Company law and other standards applicable ìn Pakistan. • Knowledge of lderal and state financial re2ulatìons. • Work requires professional written and verbal communication and interpersonal skills.
